Wacker Neuson - Worldwide active construction equipment and first-class compact construction machines
Wacker Construction Equipment AG and Neuson Kramer Baumaschinen AG signed the merger contract bringing these two leading companies together on 23.09.2007. The implementation of the contract is planned for October 2007. As a result of this merger a worldwide leading provider of construction equipment and first-class compact construction machines will appear with over 160 locations and a matchless product range.
Further turnover and earnings growth planned The first ever worldwide provider of construction equipment (“Light Equipment“) and compact construction machines (“Compact Equipment“) has been set up as a result of this joining forces of two profitable family companies that are both leaders in quality and technical know-how. Major new market potentials in the main construction business and in gardening and landscape activities will be opened up in the compact construction machines business line in particular (track and mobile excavators, wheel loaders, tele wheel loaders, dumpers and track dumpers) through use of the Wacker Construction Equipment AG worldwide distribution system. “The high quality product range both companies offer complement each other ideally, there is no overlapping so the merger will not result in a reduction of jobs and capacities, on the contrary it will be expressed in capacity development” Hans Neunteufel, founder and Board Chairman of Neuson Kramer Baumaschinen AG commented. Growth is the motivation for the merger, and this will result from the linking of the worldwide distribution and service network of the Wacker Group with the outstanding compact construction machines from Neuson Kramer.
A new board structure with experienced management “We want to fulfil the expectations of many capital market participants who are already predicting a one billion euros turnover for the coming year through the further development of our product and service range” commented Dr.-Ing. Georg Sick, who will be Chairman of the Board of Management in the new company. The current Neuson Kramer Baumaschinen AG board of management members Martin Lehner (future vice chairman responsible for the Compact Equipment Business Line) and Günther C. Binder (future finance and IT chief executive), have been appointed to the board of Wacker Construction Equipment AG. They will be joined by former members Richard Mayer (finance chief executive, future Light Equipment Business line chief executive) and Werner Schwind (who will continue as chief executive Distribution and Service). Hans Neunteufel is to be elected supervisory board chairman.
Both companies have grown in the first six months of the business year Both companies achieved growth in the first half year of business due to the big demand for their products and services. The corporate wide turnover of Neuson Kramer Baumaschinen AG rose in the first six months of the business year 2007/2008 (1.2.-31.7.) by 30.4 percent against the past year to 181.2 million euros (Previous year: 139 million euros). The EBITDA grew by 39 percent to 36.8 million euros (previous year: 26.5 million euros) Wacker Construction Equipment AG has developed according to plan achieving an increase in corporate turnover of 8.1 percent to 341.7 million euros in 2007. Currency adjusted turnover will rise 11.5 percent. Corporate performance before interest, tax and depreciations (EBITDA) grew by 0.8 percent to 55.3 million euros adjusted by planned special effects to 15.1 percent.
Contract implementation with main shareholders in October 2007 Implementation of the contract is planned for October 2007. The next Wacker Construction Equipment AG shareholders' meeting will be in early June 2008 with the agenda focussed on the resolutions essential for the transformation of the new group into a European joint-stock company (Societas Europaea “SE”) and the change of name to Wacker Neuson SE.
